Hamiworth Enterprises
Board & Governance

Decision rights before capital.

The Board sits above the fund and the operating platforms. It approves mandates, appoints committee chairs and holds the executive to the record it committed to at approval.

01Board Composition

Seats are filled deliberately as the platform matures. Confirmed appointments are named; reserved independent seats and the Company Secretary mandate are live.

Company Secretary

Board Governance

Board calendar, minutes, statutory filings and the corporate record across Mauritius, Türkiye, Saudi Arabia and the UAE.

02Standing Committees

Four committees sit between the Board and the executive. Each has a written mandate, a chair and a quorum requirement.

01

Investment Committee

Approves every capital commitment. Underwriting standards, concentration limits and follow-on discipline sit here — no deployment proceeds without a documented decision.

02

Project Financing Committee

Reviews structured trade and infrastructure transactions, counterparty exposure, security packages and drawdown conditions.

03

Risk, Audit & Compliance

Regulatory alignment across four jurisdictions, AML and counterparty screening, valuation policy and external audit oversight.

04

Sharia Advisory

Independent scholarly review at fund and asset level, with ongoing screening and periodic compliance audit.

03Governance Principles

The framework institutional investors expect, applied from formation rather than retrofitted after the first close.

Principle

Separation of decision and execution

The Board approves mandates; committees approve transactions; the executive delivers. No individual holds all three.

Principle

Documented decision rights

Every commitment carries a written committee record — thesis, downside case, conditions precedent and the person accountable after close.

Principle

Owner-operator accountability

Board members hold the operating record of the Group platforms, not only the financial statements.

Principle

Reporting discipline

Quarterly investor reporting, annual audited accounts and standing conflict-of-interest disclosure across all seats.

Group correspondence

Milestone-driven updates for GPs, LPs and strategic partners. Published sparingly.
